Description
The course aims to provide a general framework and a practical analysis of public contracts, with the key regulatory provisions and the case studies, contract templates.
Objectives
The course will address the electronic execution of contracts through digital signing and equivalent forms (Article 18, paragraph 1 of the new Public Procurement Code – D.Lgs 36/2023), the most relevant cases and decisions from the Court of Auditors regarding fees, addressing both the entitled subjects and the amounts due. The course will also cover stamp duty regulations (DPR 642/1972), both in general terms and specifically for electronic documents, taking into account the new provisions introduced by Article 18 and Annex I.4 of D. Lgs. 36/2023, as well as the first rulings from the Revenue Agency (June/July 2023), with a comparative analysis against the previous framework. Topics will also include contract registration under DPR 131/1986 and the principle of VAT/registration tax. Procurement procedure phases under Article 18 of the new Public Procurement Code (D. Lgs. 36/2023), verification of general requirements, and anti-mafia certifications will be addressed. Practical examples of public procurement contracts will be provided.

- The legal origin of the contract. The officer, the General Secretary, and the official register.
- Main forms of contract: contract by correspondence, private agreement, public deed, and private agreement.
- Local authority contracts: the public administrative form.
- Electronic procedures for public procurement contracts: D. Lgs. 36/2023.
- Stamp duty compliance: general framework under DPR 642/1972; original duty, duty in case of use, and exemption scenarios, including under the Third Sector Code. New rules under Article 18 and Annex I.4 of D. Lgs. 36/2023. First rulings from the Revenue Agency (June–July 2023). Stamp duty and contracts: comparison with previous regulations and preliminary considerations.
- Contract registration: mandatory or exemption. VAT, particularly for registration purposes (principle of VAT/registration tax). Registration via the Single Electronic Model (MUI).
- Anti-mafia certifications and White Lists, including the most recent ANAC communications.
